Subscription Agreement — OzViz – Edge

This Subscription Agreement (“Agreement”) governs your subscription to OzViz – Edge (“Edge”), a digital subscription service provided by OzViz (“we,” “our,” or “us”). By purchasing, accessing, or using Edge, you agree to this Agreement in addition to our Terms of Service and Privacy Policy.

1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to purchase and use Edge. By subscribing, you represent and warrant that you meet these requirements.

2. Access to Subscription

  • Access to Edge is granted only after successful payment of the applicable subscription fees.
  • Access remains active for the duration of the subscription period purchased, subject to this Agreement.
  • We may request verification of your account or payment information to confirm eligibility and prevent fraud.

3. Payment, Renewal, and Pricing

  • Fees. Subscription fees are due at the time of purchase and are non-refundable except where required by law.
  • Auto-Renewal. Unless otherwise stated, subscriptions automatically renew at the end of each billing cycle at the then-current rate unless you cancel prior to renewal.
  • Authorization. You authorize us (and our payment processor) to charge your selected payment method for recurring fees and any applicable taxes.
  • Failed Payments. If a payment fails, we may suspend or revoke access until payment is successfully processed.
  • Price Changes. We may change prices for future renewals. If we do, we will provide notice in a reasonable manner, and the change will apply from your next billing cycle.
  • Taxes. Fees are exclusive of taxes unless stated otherwise; you are responsible for any applicable taxes.

4. Service Availability and Downtime

We strive to provide continuous access to Edge; however, you acknowledge that:

  • Features may be unavailable during scheduled or unscheduled maintenance.
  • Access may be interrupted due to factors beyond our control (e.g., third-party outages, network issues, force majeure).
  • We are not liable for temporary downtime or unavailability.

5. Changes to Features and Accessibility

  • Edge is dynamic and may evolve over time. We may add, modify, or remove features, tools, datasets, or functionality at our discretion.
  • We may introduce tiers or change access levels and eligibility requirements.
  • Changes may be introduced with or without prior notice; your continued use of Edge constitutes acceptance of such changes.

6. Restrictions on Use

  • Do not share, resell, sublicense, or transfer your subscription or credentials.
  • Do not scrape, harvest, or systematically extract data or content except through the user interfaces we provide.
  • Do not attempt to bypass or disable subscription controls, rate limits, or security features.
  • Use Edge only for lawful purposes and in accordance with this Agreement and the Terms of Service.

7. Intellectual Property

All content, tools, datasets, and features provided through Edge are owned by or licensed to OzViz. Your subscription grants a limited, personal, non-exclusive, non-transferable right to access and use Edge during your active subscription. No ownership rights are transferred.

8. Cancellation, Suspension, and Termination

  • Your Cancellation. You may cancel at any time; cancellation takes effect at the end of the current billing cycle.
  • Our Suspension/Termination. We may suspend or terminate access immediately if you breach this Agreement, misuse Edge, or engage in fraud or abuse.
  • Refunds. No refunds for early termination or partial periods, except where required by law.

9. Disclaimers

  • Edge is provided “as is” and “as available.” We do not guarantee uninterrupted or error-free operation.
  • Market data and other information are provided for general informational purposes only and do not constitute financial, investment, or professional advice.
  • We make no warranties, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

10. Limitation of Liability

To the fullest extent permitted by law:

  • OzViz and its officers, employees, affiliates, and partners are not liable for indirect, incidental, consequential, special, or punitive damages arising from your subscription or use of Edge.
  • Our total liability for any claim related to Edge will not exceed the subscription fees you paid in the 12 months preceding the event giving rise to the claim.
  • Nothing displayed within Edge constitutes financial, investment, or professional advice. You should seek independent professional advice before making financial decisions.
  • We do not guarantee the accuracy, completeness, or timeliness of market data on a minute-by-minute basis, and you acknowledge that data may be delayed, incomplete, or contain errors.

11. Australian Consumer Law

Nothing in this Agreement excludes, restricts, or modifies any consumer guarantees, rights, or remedies that cannot be excluded under the Australian Consumer Law or other applicable law. Where permitted, our liability is limited to the resupply of services or the cost of resupplying the services.

12. Governing Law and Jurisdiction

This Agreement is governed by the laws of Australia. Any dispute will be subject to the exclusive jurisdiction of the courts located in [Insert State], Australia.

13. Changes to This Agreement

We may update this Agreement to reflect changes in law, service offerings, or business practices. We will post the revised Agreement with a new “Last Updated” date. Continued use of Edge after updates constitutes acceptance of the changes.
